Terms of Service

1. Agreement to Terms

By accessing or using Zappr ("the Service"), operated by Zappr Technologies Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Service Description

Zappr is a software-as-a-service (SaaS) platform that assists automotive dealerships in creating and managing vehicle listings on third-party marketplaces, including Facebook Marketplace. The Service includes inventory scraping, AI-generated vehicle descriptions, and automated listing tools.

Zappr is an independent automation tool. We are not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. (Facebook), or any other third-party marketplace platform.

3. Eligibility

You must be at least 18 years old and authorized to represent the dealership on whose behalf you use the Service. By registering, you represent that all information you provide is accurate and that you have authority to bind the dealership to these Terms.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We are not liable for any loss arising from unauthorized access to your account.

5. Subscription & Payments

Zappr offers paid subscription plans billed monthly through Stripe. By subscribing, you authorize recurring charges to your payment method. All fees are quoted in Canadian dollars (CAD) and are non-refundable except as specified in Section 14.

We reserve the right to modify pricing at any time. Price changes take effect at the beginning of the next billing cycle. You will be notified at least 30 days before any price increase.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:

• Use the Service to post fraudulent, misleading, or illegal vehicle listings
• Attempt to circumvent any security measures or access restrictions
• Use the Service in a manner that could damage, disable, or impair our systems
• Resell, sublicense, or redistribute the Service without prior written consent
• Use the Service to violate any third party's intellectual property rights

7. Third-Party Platforms

The Service interacts with third-party platforms, notably Facebook Marketplace. You acknowledge and agree that:

• You are solely responsible for complying with all terms of service, policies, and guidelines of any third-party platform on which you create listings through the Service
• We do not guarantee that listings created through the Service will comply with any third-party platform's terms, or that such listings will remain active or visible
• Third-party platforms may modify their terms, features, APIs, or enforcement practices at any time without notice, and such changes may affect or disable some or all Service functionality
• We bear no responsibility for any account restrictions, suspensions, bans, or penalties imposed by third-party platforms as a result of your use of the Service
• You use the Service at your own risk with respect to any third-party platform consequences

We make no representations regarding the current or future compatibility of the Service with any third-party platform.

8. Intellectual Property

All software, code, design, branding, and content comprising the Service are the exclusive property of Zappr Technologies Inc. and are protected by Canadian and international intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

9. User Content

You retain ownership of vehicle data, images, and descriptions you provide or generate through the Service. By using the Service, you grant us a limited license to process, store, and transmit your content as necessary to provide the Service. We may use aggregated, anonymized data for analytics and product improvement.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAPPR TECHNOLOGIES INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

WITHOUT LIMITING THE FOREGOING, WE SHALL HAVE NO LIABILITY FOR ANY ACTIONS TAKEN BY THIRD-PARTY PLATFORMS, INCLUDING ACCOUNT SUSPENSIONS, LISTING REMOVALS, OR BANS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Zappr Technologies Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party platform's terms of service; (d) your vehicle listings or any content you provide; or (e) any claim by a third party arising from your use of the Service.

13. Termination

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 8, 10, 11, 12, and 16) shall survive.

14. Refund Policy

All subscription fees are non-refundable once charged. If you cancel your subscription, you retain access until the end of the current billing period but will not receive a prorated refund.

Refund requests for exceptional circumstances (e.g., extended service outages caused by us) may be submitted to support@getzapper.ca and will be reviewed on a case-by-case basis at our sole discretion.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any dispute shall be resolved in the courts of competent jurisdiction in Montreal, Quebec. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
